Terms of Service

These Terms of Service (“Terms”) govern your use of Bonavi (“the Service”), operated by Vincent Filippi, a freelancer based in Québec, Canada (“we”, “us”, “our”). By creating an account or using the Service, you (“you”, “the Business”) agree to these Terms. If you do not agree, do not use the Service.

1. What Bonavi does

Bonavi helps businesses collect Google reviews and draft replies to them. Specifically, the Service:

• Generates a shareable link and QR code that point to your own Google review page;
• Sends review-request emails to contacts you provide;
• Optionally lets you forward Google review-notification emails to a unique Bonavi address so new reviews are imported automatically, without manual entry;
• Uses artificial intelligence to draft suggested replies to reviews, which you review, edit, approve, and post yourself.

Bonavi is a tool. It does not control, own, or operate Google, your Google Business Profile, or any review content.

2. AI-generated content

Reply suggestions in Bonavi are generated by artificial intelligence. AI output may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and approving any content before you post it. By posting an AI-drafted reply, you adopt it as your own statement. We make no warranty that AI-generated content is accurate, appropriate, or fit for any purpose.

This applies equally to reviews imported automatically via forwarded email: Bonavi only drafts a suggested reply from the forwarded content — it never posts anything to Google or anywhere else on your behalf. You are responsible for the emails and content you forward to your Bonavi address, for having the right to forward them, and for reviewing and editing any AI-drafted reply before you post it, exactly as with manually entered reviews.

3. Reviews and third-party content (limitation of liability for content)

Reviews are written by members of the public and are hosted by Google, not by Bonavi. We do not create, control, edit, endorse, or take responsibility for the content of any review.

Your QR code and link display your own Google review URL. If Google changes, suspends, removes, or edits your Google Business Profile or its URL, any previously generated or printed codes may stop working. This is outside our control. On request, we will issue you an updated code or link; reprinting or redistributing any materials is your responsibility and at your cost. We are not liable for materials printed with a code that later changes on Google’s side or your side.

4. Honest reviews only (acceptable use)

You agree to use Bonavi only to request honest reviews from real, genuine customers. You must not:

• Offer payment, discounts, or incentives in exchange for reviews;
• Write, or ask anyone to write, fake or misleading reviews;
• “Gate” reviews (e.g., filtering so only happy customers are directed to Google);
• Use the Service in any way that violates Google’s policies, the Competition Act (Canada), or consumer-protection or advertising laws.

Violation of this section may result in immediate suspension and is grounds for us to terminate your account. You are responsible for your compliance with all applicable laws and platform policies.

5. Your account

You are responsible for the accuracy of the information you provide, for keeping your login secure, and for all activity under your account. You must have the authority to manage the Google Business Profile and to contact the customers you add.

6. Subscriptions, billing, and cancellation

Paid plans are billed monthly in advance through our payment processor (Stripe). You may cancel at any time; cancellation stops future billing. Fees already paid for the current billing period are non-refundable, except where a refund is required by applicable law. We may change pricing with reasonable notice, effective on your next billing period.

7. Disclaimers

The Service is provided “as is” and “as available.” We do not guarantee any particular result, including any number of reviews, any ranking, or any business outcome. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

8. Limitation of liability

To the fullest extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits, lost data, or reputational harm. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnity

You agree to indemnify and hold harmless Vincent Filippi from claims, damages, and expenses arising from your use of the Service, your content, your reviews-collection practices, or your violation of these Terms or of any law or third-party policy.

10. Governing law and dispute resolution (arbitration)

These Terms are governed by the laws of the Province of Québec and the applicable laws of Canada. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be finally settled by binding arbitration seated in the Province of Québec, conducted in English or French, before a single arbitrator, in accordance with applicable Québec arbitration rules — except that either party may seek injunctive relief in a court of competent jurisdiction, and except where mandatory consumer-protection law grants you the right to bring a claim in court. Nothing here removes any non-waivable right you have under Québec’s Consumer Protection Act.

11. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new “Last updated” date, and material changes will be communicated where reasonable. Continued use after changes means you accept them.
